Terms and Conditions
These terms govern the services provided by DRUSUS SERVICES UK LIMITED.
1. Scope of Agreement
This agreement applies to company formation services, annual services, and other related services collectively referred to as the “Service”.
2. Parties to the Agreement
The parties to this Agreement are DRUSUS SERVICES UK LIMITED and the individual or legal entity placing the order (“Client”). Where the Service involves company formation, annual address services, company secretary services, trademark registration, or trademark monitoring, both the Company receiving the services and the person placing the order are jointly and severally liable for all contractual obligations including payment.
3. Order and Acceptance
An order becomes binding when submitted online, electronically accepted, or placed by phone. Orders remain binding even if required information has not yet been provided. DRUSUS SERVICES UK LIMITED may request additional information or reject incomplete information. Orders may be declined at the company’s discretion with a full refund issued.
4. Electronic Communication and Document Storage
The Client agrees to electronic communication and electronic storage of documents and information.
5. Payment and Fees
Services must be prepaid according to current pricing. Failed or reversed payments do not cancel the Client’s obligations. Late payments may incur fees and interest. Government or public registration fees outside the UK are not included unless expressly stated. Additional fees may apply for courier services, meetings, special documents, or non-standard requests.
6. Service Limitations and Liability
DRUSUS SERVICES UK LIMITED cannot guarantee processing times or approval of company names or trademarks. Refused registrations may be amended by the Client. Government trademark fees are generally non-refundable. The Client accepts responsibility for ensuring registrations do not infringe third-party rights and agrees to indemnify DRUSUS SERVICES UK LIMITED against related claims.
7. Client Obligations
The Client must provide accurate and updated information and understands the legal and tax implications of company operations. Independent professional advice should be obtained where necessary.
8. Liability
Liability is limited to the fees paid under this agreement. DRUSUS SERVICES UK LIMITED is not liable for indirect or consequential losses or regulatory changes.
9. Compliance and Legal Use
The Client confirms that companies formed will not be used for unlawful purposes. DRUSUS SERVICES UK LIMITED may report suspected illegal activity or money laundering where legally required.
10. Company Secretary Services
Company secretary services may be provided directly or via third parties. UK services are limited to annual return filings, dormant account filings, and non-trading notifications unless otherwise agreed in writing. Clients remain responsible for all penalties and government fees.
11. Company Formation Outside the UK
For non-UK company formations, draft constitutional documents may be prepared based on Client information. The Client remains responsible for auditor costs and share capital requirements.
12. Client Updates and Communication
The Client must notify DRUSUS SERVICES UK LIMITED of any changes to personal or company details.
13. Company Changes
Support for changes such as director appointments, share transfers, or company name changes is based entirely on information supplied by the Client.
14. Company Strike-Off in the UK
Where strike-off assistance is provided, the Client accepts all associated risks and liabilities.
15. Electronic Filing
Forms may be submitted electronically even if originally supplied in paper format.
16. Renewal of Annual Services
Recurring services automatically renew unless cancelled at least 60 days before renewal. The Client authorises DRUSUS SERVICES UK LIMITED to charge the saved payment method for renewal fees.
17. Confidentiality
Client information will remain confidential unless disclosure is required by law or government authority.
18. Cancellation, Refund, and Complaint Policy
Refunds and cancellations are generally not available once an order is placed and are reviewed solely at the discretion of DRUSUS SERVICES UK LIMITED. Complaints must be submitted in writing to the official contact email. Complaints are reviewed within 30 business days.
19. Call Recording
Phone calls may be recorded and retained for training and documentation purposes.
20. Governing Law and Jurisdiction
Disputes relating to unpaid fees are governed by the laws and courts of the Client’s place of residence. All other disputes are governed by UK law and UK courts.
21. Card Payments
Card payments are typically processed within 1–3 working days after authorisation.
22. Delivery Time
Delivery times vary depending on the service and third-party processing times as well as how quickly the Client provides required documentation.
23. Power of Attorney Requirement
For trademark filing services, the Customer agrees to provide a signed Power of Attorney authorising DRUSUS SERVICES UK LIMITED to file and manage the application process on the Customer’s behalf before filing can begin.
